내년 자산 2조 이상 상장사 전자주총 의무화…어디서나 참여

이에 따라 자산총액 2조 원 이상 상장회사는 전자주주총회를 의무적으로 개최해야 하며, 국내외 주주들은 어디서나 전자주주총회에 출석해 의결권 등 주주권을 적정하게 행사할 수 있게 된다.

이번 시행령은 전자주주총회 운영에 필요한 절차 규정도 함께 신설했다.

 

2025년 말 기준 전자주주총회 의무 개최 대상은 자산총액 2조 원 이상 상장회사 210곳으로, 코스피 상장사 201곳과 코스닥 상장사 9곳이 해당한다.

 

법무부는 제도의 안정적인 시행을 위해 한국예탁결제원과 협력해 2026년 하반기 중 모의 전자주주총회를 개최할 예정이다.

 

아울러 기업과 주주들이 제도를 쉽게 이해하고 활용할 수 있도록 적극적인 홍보와 안내를 실시하는 등 준비 작업을 거쳐 2027년 1월 1일부터 전자주주총회 제도가 차질 없이 시행되도록 할 계획이다.
